Brand Points PLUS Cash Program Terms and Conditions
These Terms and Conditions govern participation in the Brand Points PLUS Cash Program (“BP+ Cash”), which is operated by Greenbridge Foodservice Inc. (the “Sponsor”) and administered in partnership with Unipco Purchasing Program and Entegra Inc. (collectively referred to as the “Administrators”).
By participating in BP+ Cash, Members agree to the following:
Definitions
For the purposes of these Terms and Conditions:
- “Administrator” refers to Unipco Purchasing Program and Entegra Inc., which manage the rebate negotiations and assist in program administration.
- “Member” refers to any foodservice operator enrolled and in good standing with the Brand Points PLUS program, thus eligible to participate in BP+ Cash and receive associated rewards.
- “Operator” refers to any commercial foodservice entity, including restaurants, hospitality providers, institutions, or other food-purchasing businesses that may be eligible to participate in BP+ Cash.
- “Approved Distributor” refers to a foodservice distribution company approved by BP+ Cash, whose sales to Members are tracked for reward purposes.
- “Sponsor” refers to Greenbridge Foodservice Inc., which operates the BP+ Cash program.
Eligibility
Only Members in good standing and actively participating in the Brand Points PLUS program are eligible to receive BP+ Cash rewards. Operators are not permitted to belong to any other purchasing group and agree to withdraw from any such groups upon joining BP+ Cash.
BP+ Cash Earnings
BP+ Cash is earned through qualifying purchases from participating Approved Distributors. Rewards are based on purchase data submitted by these distributors. BP+ Cash is not responsible for any errors or omissions in data provided by Members or Approved Distributors.
Program Description
The Program provides cash rebates to eligible foodservice Operators for the purchase of specified vendor products, which are subject to change. The Operator authorizes the Sponsor and/or its foodservice distributor to share purchasing data with the Administrators for the purpose of calculating and verifying cash rewards. Reasonable measures will be implemented to protect the confidentiality of Operator data. The Operator also authorizes the Sponsor and/or Administrators to share specific data with vendors solely to support program operations. Operators are not permitted to belong to any other purchasing group and agree to withdraw from any such groups upon joining BP+ Cash.
Payout Terms
BP+ Cash rewards accumulate and are paid out on a quarterly basis. The method of payout is at BP+ Cash’s sole discretion. Any minimum payout thresholds will be communicated. Delays may occur if Member data is incomplete or inaccurate.
Program Changes
BP+ Cash reserves the right to modify, suspend, or terminate the program at any time without prior notice. Changes will be communicated through official program channels.
Member Responsibility
Members are responsible for maintaining accurate and current account and payment information. BP+ Cash is not liable for delayed or misdirected payments due to inaccuracies in Member information.
Approved Distributor Payment Compliance
Members must be active customers of the Approved Distributors and comply with agreed payment terms. If a Member fails to meet payment obligations, BP+ Cash reserves the right, at its discretion, to redirect earned rebates to the Approved Distributor to offset unpaid balances.
Tax Responsibility
Members are solely responsible for the reporting and payment of any applicable federal, provincial, or local taxes related to the receipt of BP+ Cash rewards. Harmonized Sales Tax (HST) has been reported in accordance with form GST 506 “Election between Agent and Principal”.
Program Audit and Verification
BP+ Cash reserves the right to audit any Member’s purchases and eligibility at any time. Misreporting, misuse, or fraud may result in forfeiture of rewards and removal from the program.
Data Privacy and Security
BP+ Cash is committed to safeguarding personal and business information. All data collected through the program is handled in accordance with applicable Canadian privacy laws and is used solely for the purpose of administering and improving the program. Member data will not be sold or shared with third parties except as required to fulfill program obligations or comply with legal requirements.
Force Majeure
BP+ Cash shall not be held liable for delays or failure to perform due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, strikes, equipment failures, or acts of government.
Governing Law
These Terms and Conditions shall be governed by and interpreted in accordance with the laws of the Province of Ontario and the applicable laws of Canada.
Dispute Resolution
Any disputes arising from participation in the BP+ Cash program shall first be resolved through good faith negotiations. If unresolved, disputes will be submitted to binding arbitration under the laws of the Province of Ontario.
Interpretation
BP+ Cash reserves the exclusive right to interpret these Terms and Conditions. All determinations made by BP+ Cash are final and binding.
